General terms and conditions of sale

ARTICLE 1: GENERAL PRINCIPLES

The present general terms and conditions of sale (hereinafter the “General Terms and Conditions of Sale”) apply integrally to all sales made by RICHARDSON FILLES (hereinafter the “Seller”) to non-professional buyers (hereinafter the “Buyer”) through the webWebsite www.richardson-filles.com (hereinafter the “WebWebsite”).

By placing an order, the Buyer acknowlegde that he accepts without reserve and is fully bound by the General Terms and Conditions of Sale, which shall prevail over all other documents. It also implies that he is aware of and accepts the General Terms and Conditions of sale before placing his order.

The fact that the Seller doe not invoke any of the provisions in the General Terms and Conditions of Sale shall not be interpreted as constituting renunciation of the possibility to later invoke any of the said General Terms and Conditions of Sale.

Sales proposed by the Seller on the Website:

are meant exclusively for individuals with the full legal capacity to contract; purchases by professionals and those intended for resale are not permitted
and
only apply to sales that are to be delivered exclusively within France.

If the Buyer wishes to place an order for delivery to other countries, he should contact the Seller at contact@richardson-filles.com. If the Seller is able to meet the order, he shall inform the Buyer of the terms and conditions, including the financial terms and conditions, proposed for the delivery.

By placing an order on the Website, the Buyer agrees that he fulfills all the conditions set out in this section.

The Seller reserves the right to modify these General Terms and Conditions of Sale at any time. If they are modified, the applicable General Terms and Conditions of Sale will be the ones in effect on the date of the order.


ARTICLE 2. ORDERS

2.1    Logging into a user account

To place an order with the Seller, the Buyer must log in with a user account.

A first-time Buyer must first create a user account by completing the registration form on the Website. To open a user account, two pieces of login information must be entered: an electronic mail address and a password.

The Buyer’s login information is personal and should be kept confidential. The Buyer may not disclose this information to a third party. He is responsible for the use of his login information. If the information is used without his knowledge, he should immediately inform the Seller in writing so that the Seller may deactivate the Buyer’s account.
It is the Buyer’s responsibility to provide complete and accurate information and to keep it up-to-date if it changes.

2.2    Placing an order

The process for placing an order is as follows:
The Buyer selects the products and quantities he wishes to order. At any time, the Buyer may obtain a summary of the products selected by clicking on “VIEW MY BASKET.”
The Buyer is shown an order summary. He can view and modify his order in part or in whole by clicking on “CONTINUE SHOPPING” and adding more products. The Buyer will then be shown a new order summary.
The Buyer reads the General Terms and Conditions of Sale on the Website and agrees to be bound by them by checking the appropriate box. By doing so, the Buyer declares that he understands and accepts the General Terms and Conditions of Sale.
The Buyer chooses the delivery address and method for his order from among the ones offered on the Website.
The Buyer definitively confirms the order contents and total. Confirmation constitutes express acceptance of the order by the Buyer and is demonstrated by clicking on the button “CONFIRM MY ORDER.”
The Buyer then pays for the order.

Upon receiving the order, the Seller shall ensure compliance with the delivery of his order and perform the appropriate initial verifications to confirm the order.

The Seller reserves the right not to fulfill the order placed by the Buyer:
if the order’s contents or frequency exceed the needs of a non-professional and more generally in the event of an order that is abnormal or placed in bad faith by the Buyer
if information from the bank hired by the Seller to process payments makes it impossible to process the Buyer’s method of payment
and more generally for legitimate reasons, including as defined in article L.122-1 of the French Consumer Code.

Once the Seller has performed the appropriate initial verifications, he will send an e-mail to the Buyer informing him that:
his order has been rejected, or
his order has been accepted.

The Seller only becomes contractually obligated to the Buyer upon final confirmation of the order. Products will not be shipped until the order has been definitively confirmed.


ARTICLE 3. PRODUCT AVAILABILITY

3.1    The Seller offers products for sale only insofar as they are in stock and, where appropriate, within the timeframe indicated.

Indications concerning product availability are sent by the Seller to the Buyer when the Buyer places his order.

3.2    The Seller’s product database is updated regularly. However, products shown as available may sometimes be out of stock at the time the Buyer places an order. Thus sales are only confirmed after the Seller verifies product availability for the Buyer’s order.

If the order cannot be confirmed due to partial or total unavailability of a product, the Seller will notify the Buyer as soon as the Seller becomes aware of the unavailability.

If this occurs, the Buyer may:
cancel his entire order at no cost
confirm his order for the available items, in which case the Buyer will only be charged for the available items.


ARTICLE 4. PRICES

4.1    Prices displayed on the Website are shown in Euros (€), excluding delivery cost and including tax for orders placed in and to be delivered within France.

For delivery to other countries, the Buyer should contact the Seller beforehand at contact@richardson-filles.com. If the Seller is able to fulfill the request, he shall inform the Buyer of the terms and conditions, including the financial terms and conditions, proposed for the delivery. In this regard separate taxes, duties and charges may apply in addition to the pre-tax price of the item. The Seller shall give the Buyer the amount of the applicable taxes, duties and charges upon prior estimate.

Delivery costs vary depending on the volume of the Buyer’s order, the delivery method offered by the Seller and selected by the Buyer and the country of delivery. Delivery costs are displayed on the Website when the order is placed or specified in a prior estimate to the Buyer.

4.2    The applicable item prices, delivery costs and General Terms and Conditions of Sale are those displayed on the Website the day the Buyer places the order or those specified in a prior estimate.


ARTICLE 5. PAYMENT

5.1    Payments shall be made in full in Euros (€) only by bank card, Visa, MasterCard, PayPal account or Paylib account, and only through the Website.

The Buyer must pay for the entire order when placing it. In accordance with stipulations above (article 4), if some or all of the products ordered are unavailable, the Buyer will only be charged for the items that are available and effectively sent.

5.2    In order to protect online transactions, the Seller has set up a secure online payment system to encrypt order-related data (including names, addresses and credit card numbers) and to protect information during transmission.

Payments by bank card, Visa, MasterCard, PayPal account or Paylib account are handled by BNP Paribas’ secure MERCANET system in accordance with French interbank regulations.

During the payment process, the Buyer is automatically redirected to the webWebsite of the Seller’s banking partner. The Seller never has access to the Buyer’s banking information. The Seller is only notified by the banking partner that the payment transaction was successful.

5.3 The Buyer guarantees the Seller that he is fully authorized to use the bank card or PayPal or Paylib account to pay for the order and that at the time the order is confirmed, the Buyer is authorized to use the payment method. Provisions and sanctions on fraudulent payment by bank card may be invoked.

5.4    Failure by the Buyer to comply with obligations stated in the General Terms and Conditions of Sale, in particular those regarding issues with payment for an order, may result in suspension of access to the Website or even termination of the customer’s account, without prejudice to any damages that the Seller may claim. The Seller also reserves the right to refuse any order from a Buyer with whom the Seller is in dispute.


ARTICLE 6. DELIVERY DATES AND METHODS

6.1    Products ordered will not be delivered to the Buyer until the full payment of the order and any additional charges.

Products ordered shall be delivered in a single package to the place of delivery indicated in the order and using the delivery method selected by the Buyer from among the options offered by the Seller when the order was placed and as confirmed by the Seller in the order confirmation.

6.2    Deliveries will only be made within French territory.

For deliveries to other countries, the Buyer should contact the Seller at contact@richardson-filles.com. If the Seller is able to fulfill the request, he shall inform the Buyer of the terms and conditions, including the financial terms and conditions, proposed for the delivery.

6.3    Deliveries may not be made on Sundays, French holidays or local holidays in the country of delivery.

6.4    Under no circumstances will the Seller be responsible for delivery delays caused by customs formalities. The Buyer is responsible for making customs declarations.

6.5    Delivery dates are stated when the Buyer places the order on the Website or in a prior estimate and are based on the delivery method selected by the Buyer from among the options offered by the Seller.

The Seller shall take all measures necessary to meet the delivery dates stated.

Failure by the Seller to deliver the ordered products, the Buyer may cancel the order, by certified letter with return receipt or in writing in another durable medium, if after having enjoined the Seller, under the same conditions, to provide the delivery in a reasonable period of time under Article L.138-2 of the French consumer Code, the Seller fails to do so within that period.

In this situation, the Seller shall provide a refund of the total amount paid by the Buyer as soon as possible and no later than fourteen (14) days after the date on which the order is withdrew, as provided in Article L.138-3 of the French consumer Code.

6.6    The Seller will previously inform the Buyer of the delivery cost and no later than when the Buyer confirms his order. The Seller will charge the Buyer for delivery cost, which will appear on the sales invoice issued by the Seller for the order.

6.7    In all cases, the Buyer must provide the Seller with a valid delivery address. Before placing an order, it is the Buyer’s responsibility to check that the order can be transported by normal channels – regarding the size, volume and weight of the products ordered – and that there are no obstacles to delivery, such as stairs, elevators or landing doors. The Seller shall not be liable if an order cannot be delivered due to an error in information provided by the Buyer.

If the package is returned to the Seller because of an incomplete or incorrect address, the Seller will contact the Buyer to inform him of the situation and to request additional address information or a new delivery address. The Buyer is responsible for the cost of this new delivery.

If a package must be re-delivered, the new delivery date will be based on the date the Seller receives additional delivery address information from the Buyer.


ARTICLE 7. COMPLIANCE

7.1    Upon receiving the order, the Buyer shall check the nature, state, quantity and more generally whether the products delivered comply with the contents order.

On delivery, the Buyer is required to examine the package to check for any damaged, missing or incorrect items, the condition of the packaging, the number of packages and products and the model, condition and characteristics of the products.

By signing the delivery receipt, the Buyer declares that he fully accepts the package as delivered.

7.2    If the Buyer notices a problem with the product, he should make an explicit, detailed note of it on the carrier’s delivery slip and immediately inform the Seller.


ARTICLE 8. RIGHT OF WITHDRAWAL

8.1    Pursuant to article L.121-21 of the French Consumer Code, the Buyer has a period of fourteen (14) calendar days from the delivery of its order within which to exercise his right of withdrawal in whole or in part without needing to justify a reason or to pay penalties. If the withdrawal period expires on a Saturday, Sunday or public or national holiday, the period shall be extended to the next working day.

The Buyer must inform the Seller of his decision to exercise his right of withdrawal by sending a clear and explicit statement to the following address :

Products must be returned in their original packaging complete and intact and in their original condition, along with all accessories and the sales invoice. Packages must be sent by certified mail with return receipt to the address below no later than fourteen (14) days after notifying the Seller of the Buyer’s decision to exercise his right of withdrawal:

8.2    Pursuant to article L.121-21-8 of the French Consumer Code, the right of withdrawal cannot be exercise for goods made to the Buyer’s specifications or that are clearly personalized.

Furthermore, the right of withdrawal cannot be exercise if the returned product is unfit for resale. The Buyer should take all precautions to prevent damage to products ordered.

8.3    The Seller shall refund the Buyer the total amount paid, including the original delivery costs but excluding return delivery costs, which are the Buyer’s responsibility.

However, the Seller shall not refund to the Buyer:
additional delivery costs paid by the Buyer if he expressly selected a delivery method more expensive than the standard delivery method offered by the Seller
initial delivery costs if the Buyer only wishes to return part of the order.

The refund shall be made as soon as possible and no later than fourteen (14) days after the date on which the Seller receives the products. Beyond the fourteen-day period, the sum owed shall bear interest in accordance with conditions in article L.121-21-4 of the French Consumer Code.

Refunds shall be made through the same payment method used by the Buyer for the initial transaction, unless otherwise expressly agreed to by the Buyer.

Product(s) returned with postage due or cons-reimbursement will be refused by the Seller.


ARTICLE 9. LIABILITY AND GUARANTEES

9.1    In accordance with current regulations, in the event of unforeseeable and insurmountable circumstances caused by a third party or in the event of an act of God, the Seller shall not be liable for failing to fulfill or improperly fulfilling an order (including late deliveries) placed by the Buyer.

9.2    Under the conditions stipulated in articles 1641 to 1649 of the French Civil Code and articles L.211-4 to L.211-14 of the French Consumer Code, the Buyer benefits from legal guarantees of conformity and of of the latent defects.

Excerpt from the French Consumer Code:

Article L.211-4: “The seller is required to deliver a product which conforms to the contract and is held liable for any lack of conformity which exists upon delivery.
He is also held liable for any lack of conformity caused by the packaging or the assembly instructions, or the installation if he assumed responsibility therefor or had it carried out under his responsibility”

Article L.211-5: “To conform to the contract, the product must:
1. Be suitable for the purpose usually associated with such a product and, if applicable:
- correspond to the description given by the seller and have the features that the seller presented to the buyer in the form of a sample or model;
- have the features that a buyer might reasonably expect it to have considering the public statements made by the seller, the producer or his representative, including advertising and labelling;
2. Or have the features defined by mutual agreement between the parties or be suitable for any special requirement of the buyer which was made known to the seller and which the latter agreed to.”

Article L.211-12: “Action resulting from lack of conformity lapses two years after delivery of the product.”

Excerpt from the French Civil Code:

Article 1641: “A seller is bound to a warranty on account of the latent defects of the thing sold which render it unfit for the use for which it was intended, or which so impair that use that the buyer would not have acquired it, or would only have given a lesser price for it, had he known of them.”

Article 1648, §1: “The action resulting from redhibitory vices must be brought by the buyer within a period of two years following the discovery of the vice.”

ARTICLE 11. PROOF

The Seller and Buyer expressly agree that electronic mail will be valid between the parties, as will data – including the subject and date of the order – stored by automatic storage systems used by the Website.


ARTICLE 12. APPLICABLE LAW; LANGUAGE; DISPUTES

12.1    The law applicable to the agreement is French law.

12.2    In the event of a dispute, before taking legal action the Buyer may contact the Seller to find an amicable solution. Seeking an amicable solution does not affect the legal guarantee period.

12.3    Any legal action that cannot be resolved amicably will be the exclusive jurisdiction of French courts.


ARTICLE 13. PERSONAL DATA

13.1    The Seller must respect the confidentiality of personal data sent by the Buyer through the Website and must process the data in accordance with French Data Protection Law n° 78-17 of 6th January 1978.

13.2    Personal data sent by the Buyer to the Seller will be processed by computers and may be used by the Seller, its internal services, subcontractors, commercial partners or assignees to:
Process, fulfill and manage orders
Process information requests, claims and/or refunds
Notify the Buyer of upcoming sales and events
Enhance and personalize communications, including for market research, newsletters or special offers
Process information requests sent through the “Contact” tab.

The Seller shall not disclose this information to a third party other than its commercial partners and subcontractors responsible for fulfilling, delivering and/or processing payments for orders. However, the Seller may disclose the information if required by an injunction from legal authorities.

In accordance with provisions of French Data Protection Law n° 78-17 of 6th January 1978, the Buyer has the right to access, modify, correct and delete his personal data. This right may be exercised at anytime by sending a request in writing to the following address or e-mail:

The Buyer also has the right to refuse to allow his data to be collected for legitimate reasons. However, information marked with an asterisk is necessary to process orders or requests for information. If this information is not filled out completely and accurately, the Buyer’s order or information request may not be able to be processed.
